GEM AWARDS SPONSORSHIP TERMS & CONDITIONS


By purchasing or committing to a sponsorship for the GEM Awards, the sponsor (“Sponsor”) agrees to the following terms and conditions, as set forth by Jewelers of America, a New York non-profit organization (“Jewelers of America”).

  1. Sponsorship Commitment
    Sponsor agrees to participate as a supporter of the GEM Awards (“Event”). The specific terms of each sponsorship level, including associated benefits and recognition opportunities, are outlined in the official GEM Awards Sponsorship Kit and on the Jewelers of America website. By submitting payment or a formal commitment, Sponsor agrees to abide by these terms.
  2. Use and Ownership of Marks
    Each party retains ownership of its respective trademarks, logos, trade names, and other intellectual property (“Marks”). Neither party shall acquire any interest in the other’s Marks, and any use is limited to what is expressly permitted under these terms.
  3. License Grant
  • Sponsor Use of JA Marks: Jewelers of America grants Sponsor a limited, non-exclusive, non-transferable, revocable license to use the GEM Awards name logo solely in connection with promotional efforts related to the Event. This does not constitute an endorsement of the Sponsor or its products/services.
  • JA Use of Sponsor Marks: Sponsor grants Jewelers of America a limited, non-exclusive, non-transferable, revocable license to use Sponsor’s logo and name for the purposes of Event-related materials, promotion, recognition, and public relations. Both parties agree to follow any provided brand guidelines.
  1. Sponsor Benefits
    Sponsor will receive the benefits associated with the sponsorship level purchased, as detailed in the current GEM Awards Sponsorship Kit and on the Jewelers of America website. All benefits are subject to availability and may be adjusted by Jewelers of America as necessary.
  2. Promotion & Advertising
    The Sponsor may promote their involvement in the GEM Awards through marketing channels, subject to these terms and any additional brand usage guidelines provided by Jewelers of America. Promotional rights begin upon confirmation of the sponsorship and end following the conclusion of the Event, unless otherwise agreed upon in writing.
  3. Compliance with Laws
    Sponsor is solely responsible for complying with all applicable laws, regulations, and tax requirements related to its sponsorship and marketing activities.
  4. Term & Termination
    These terms are effective upon confirmation of sponsorship and remain in effect through the conclusion of the Event, unless otherwise terminated.
  5. Confidentiality
    Details of the sponsorship arrangement are considered confidential and shall not be shared publicly by either party without prior written consent, except as required by law or necessary internal disclosures (e.g., legal, financial advisors).
  6. Indemnification
    Each party agrees to indemnify and hold the other harmless from any third-party claims, damages, or liabilities resulting from gross negligence, willful misconduct, or breach of these terms.
  7. General Provisions
    These terms do not create a joint venture or agency relationship. They are governed by the laws of the State of New York. Any disputes shall be resolved in the courts located in New York County, New York. By completing the sponsorship purchase, Sponsor waives any right to a jury trial and agrees to these terms in full. These terms may be updated by Jewelers of America at any time, with notice provided through the GEM Awards website or Sponsorship Kit.
